The shares are over Years, Many Prepaid soon in my opinion

I would guess that this agreement seems to be,

the company getting money and exchanging notes, by paying off WORSE deals with better deals,

AND if the Notes are PREPAID EVERYONE WINS.

The Institutional investors still make a lot

The company saves money and shares

and the shareholder's make money by having a MUCH HIGER PPS!

Looks like an all around well thought out situation, for everyone!

The 8k reflects the share structure as it is when it is written.

Under your scenario, if they put 25M-100M shares in this deal, it would be subjected to another divide come RS. Leaving them with 1.25M-20M.

And it wouldn't be a Supreme Court issue, it would, at worst, be a forced bankruptcy if they promised more shares then they could convert when it came time to cash in. Which, again, won't happen because we have the company the authority to RS

What's the point/implication of the question/statement? This has been answered many times. Are you suggesting this is illegal? A simple contingency clause is 3 sentences in the legal contract.
