Or they don't do it at all! like i said, if they wanted to dilute why havent they the past few weeks? the A/S isn't maxed out. Why did officers buy 9 million shares two weeks ago?

Wrong, Def 14c is almost always followed after the pre. by 1 to 2 weeks. They are hoping to prevent a hostile takeover, can't do that without the def. IMO
