Good Post ! There are several reasons to go public:

Going Public, or Reverse Merging into a non performing Public Shell:

1. Raises Capital
2. Improves Liquidity
3. Provides Acquisition and Mergers Capability
4. Key Employee Retention and Motivation
5. Company / Founder Prestige

I agree with the Pump and Dumps riddled in these markets, I agree on the large percentage of crooks that prey on honest folks and families, and Barton / Goode are obviously still suspect as I have acknowledged.

Having worked through the FDA (FUD) and the Ken Manzo (FUD), Celprogen's Jay Scharma and Jay Udani, I am more confident in the decision I have made to take a position in MNZO at this writing, not including a bottom chart play opportunity.......

........On the WHY ? Ken Manzo partnered in this manner opposed to going straight on with an S1 and Audited Fins......one can speculate, as you have and I will as stated below:

...looking at Ken Manzo, he obviously worked to raise capital, achieve a Patent in 2012, (after 5 years) has his own Tummy Relief product that is in its distribution infancy and is in obvious need of awareness, has every nickle into his dream, was trying to raise funds with web based honor funding from what I can see, maybe that is how Barton found him, looking for credible ideas to pump n dump or ??? maybe sought out the ploy striking a deal to roll with his previous shell for the 3 million shares, and Manzo said No or Barton / Goode realized this could be the real deal......??? Have no idea.....

Establishing audited Fins and an S1 can be a costly endeavor and take about 6 Months, and that is the trade off that Ken likely made for rolling into this shell....He does not have the cash to go OTC-QB, so it was with 10% of common Shares and 1 CD, that he took this shell, total debt 180K with all the rest of the years of abuse with this shell is now being accounted for in the effort to get the chill removed......so yes, Pinks are RISKY, Guard your flanks, preserve Capital, stick to your trading plan.......
