The Magna deal is a line of credit that we control. Just like all the previous deals.....we will never need all of it...... but its there if necessary.....

Ok lets compare the financing NOW !!!!

Ok, the company started with Dominion and we screamed toxic, then the company went with Magna ( a line of credit with controls) and again we screamed....... now they have found three investors for a Private Placement at .137 with carrots .20 warrrants...
Appears to me , DP is listening and doing everything in his power to benefit shareholders.

Probably the days of Dominion dumping shares are over as their greed is the same as most..... but if they do...... (17 million) that would be a clear buy sign IMHO on any price below .137...

Chart readers will have a field day with Friday's chart !!!!

Its a shame for those that exited under .13 at 2:50PM when the 8k was posted at 2:34pm.... Be real careful folks

When we put an amount of shares to Magna, the per-share purchase price that Magna will pay to us in respect of the put will be equal to 95% of the average of the three lowest daily volume weighted average prices of the Common Stock as reported by Bloomberg L.P

On June 10, 2015, we entered into Subscription Agreements (each, a “Subscription Agreement,” and, collectively, the “Subscription Agreements”) with three accredited investors (the “Purchasers”) relating to the issuance and sale (the “Offering”) of an aggregate of 14,946,119 units (each, a “Unit,” and, collectively, the “Units”) at a purchase price per Unit of $0.1375, with each Unit consisting of: (i) one share of our common stock, par value $0.001 per share (the “Common Stock”), and (ii) one warrant (each, a “Warrant,” and, collectively, the “Warrants”) to acquire one share (collectively, the “Warrant Shares”) of our Common Stock at an exercise price of $0.20625 per share pursuant to the terms of the Subscription Agreements. To date, we received $2,055,000 from the sale of the Units, and may receive additional proceeds if and when the Warrants are exercised.
