In any case- It appears that the 2.4 million shares were part of the authorization from the Form D and being registered shares there was no 8K required. This would mean or imply that: 1. The capital referenced in the Form D is not for any grand plan to vertically integrate blah blah blah... because raising that much money would be a milestone and we all know there have been no milestones...blah blah blah 2. Half the money was raised and a good part of that already spent on rent, etc. 3. The investor wasHOODWINKED and SCAMMED on his pricing by the painter. 4. We still don't know what the "combined business" component of this mega-deal is. Additional thoughts: 1. $245,000 is way too much to pay for the shell.... 2. The scam may be spinning into view soon.....
