In case you can't read, I'm not going to waste any time getting into the debate as to whether or not a .0001 stock is a scam. You think it is. Others think you have an agenda. Who cares?
If, and I say if, it is NOT a scam, then for the long term, one is better off taking the "sure thing" in the debenture rather than risking the possibility (I'm sure you'd say certainty) of dilution down the road.
I do agree with you that there could be an increase in share price due to the reduced float but I'm sure you and your compardres will be here, posting in tandem, to try to limit this and to try to scare away any longs.
As for the issue of mandating the debenture, they could make the debenture deal contingent on the receipt of a certain percentage of share tenders for the debenture. Or they could say that they are accepting only the first 80%. That way, they create a risk that shareholders get stuck with a stock priced at .0001. Alternatively, they could do a reverse split and a divdend of the debenture. (I haven't really thought through the tax or securities law consequences so that's off the top of my head.)
