"My understanding is when the S1was effective the share offering kicked in according to what I read on nasdaq.com that had to happen first." they have a 6 month timeframe (i believe) to get the offering done. the S-1 covers what happens if shares are sold at a lesser than $1 sp target.
"Then I thought thiere was a quite period for the shares" once the S-1 became effective any quiet period ceased.
"I did not find the virtual sourcing IPO untill after S1 was effective they are advertising it but it is not listed yet." IPO ? this is a secondary offering imo.
