I still suspect if it was legal for the new guys to raise the AS without all the common shareholder's voting at all since SAGD had no any designed toxic Preferred Shares (PS) to entitle the SS change then and the common stock was the only security SAGD had then? They might have already broken up the security law which seriously damaged all the previous common shareholder's ownership interests! We may need to ask the Nevada state to find out the right answer for this fishy action...
