From what I understand, there would be no immediate dilutive effects. Increasing the A/S would just give the company the opportunity to offer more shares and increase in the O/S in the future, in order to raise additional funds.

750M A/S is quite an increase, and no doubt would tempt management to increase O/S rather than operating within their means. Might be worth proposing a lower A/S, if this increase is fundamentally necessary, to perhaps 500M or lower?

Might want to say 'Not going to hit that .25 now" IMHO. Still a good company, still have a good base at this PPS, but this limits upside. Considerably.

This sucks. Anyone going to spin this as a positive? I'm in at .0681, so I'm not crushed. But IMO this is going to hurt lots of great investors on this board. :(

In my experience, you don't raise the A/S without intent to use it. More dilution to come IMO, and I'm well aware of the note from 12/31 with anti-dilutive language. It doesn't close off that funding or deal with Garden State, but will change the terms. To what the terms will now be were not disclosed. Will be in the 10Q.
