Spinoffs are a distribution to MMMW shareholders of shares from the private company which is raising funds to finance the projects. After MMMW receives stock from the private company, MMMW would distribute the stock to its shareholders in the form of stock dividend. Then the investment company with 3000 shareholders may file a Form 10 or Form S1. The private investment company would become a public entity. The large investors would get a very good deal without the stock dilution that would be required if the investors made a direct investment into MMMW. The value of the public entity is much higher than the same company as a private company.
