Sorry but your missing something. There are major exchanges located outside the United States that do not require PCAOB firms. Those exchanges include Toronto, London, Frankfurt, Hong Kong and Australia, amongst others, where the shares trade on that exchange as well as the OTC Markets.

There are number of companies that trade on a major market and simultaneously on the OTC Markets:
