I believe both of you are saying pretty much the same thing and I am in agreement.

I would think the spirit of the "5% ownership rule" certainly encompasses beneficial ownership and ownership via attribution, and JJ can't spread his shares among related entities to relieve his disclosure requirement. And like Rick says, there is NO disclosure requirement for MDMN as long as it willfully remains a non-reporting OTC issue. That isn't going to change. Re-read the second sentence of this paragraph to be reminded why.

I believe the reason for the "error" is far more simple and less sinister, however. Our "accountant" is quite sloppy and regularly resorts to cutting and pasting. That's all, IMHO.

There are other errors (even mathematical) in the most recent financials no one has mentioned, but they really aren't material other than to demonstrate management continues to have no inclination to deliver professional quality data to stockholders.

Again, no news here... Sadly.

They actually do have an obligation to file correct information. Saying no one holds 5% when in fact JJ holds 20% would be clearly incorrect. And since we agree that spreading out his ownership among various entities does not mean he doesn't own 5%, the question remains, What happened to the 300 million shares JJ no longer owns?
