Actually, you said "someone on the board". Since nobody here, SOTG included, said anything at all about an 8k on Wednesday before you did, the most logical conclusion was that "board member" meant a director. Regardless, it was a rumor and it was another untrue rumor about USPR.

Wonder how many more untrue rumors are out there?
