July 23rd, 2004 -- IPO Holding Company Inc., a private Nevada corporation disseminated a press release on July 19th 2004 concerning IPO Holding Company's investment; International Pharmacy Outlets Inc., (IPCY - Pink Sheets) http://www.ipcy.com

IPO Holding Company, Inc., has been duly informed by PacWest Transfer LLC's legal counsel - Guzov, Ofsink, Flink LLC that PacWest Transfer LLC has tendered its resignation as the contracted stock transfer agent serving International Pharmacy Outlets Inc. PacWest's resignation was on Monday July 19th 2004.

According to numerous press releases made by International Pharmacy Outlets Inc. from November 2003 through to March 2004, IPO Holding Company Inc., is the majority controlling shareholder of International Pharmacy Outlets Inc. This fact not withstanding, IPO Holding Company Inc., has been consistently obstructed from all attempts to ascertain the accurate number of common and preferred IPCY shares issued and outstanding.

Accordingly ,since on or around August 26th 2003, approximately 960 public shareholders may not have been afforded accurate stock transfer records with regards to the shares issued and outstanding of IPCY common shares pursuant to section 17A(c) and section 17AD–6(b) of the Securities and Exchange Act of 1934, (the "Act") of which the SEC is the appropriate regulatory agency, as defined in section 3(a),(34)(b) of the Act as amended.

IPO Holding Company Inc., hereby retracts the allegations without prejudice concerning PacWest Transfer LLC, Joseph Meuse & Laurel Poffenroth.
