just IMHO:
1. To prevent Hostile Takeover,

2. Merger&Acquisition,
Possible amazon Merger, Acquisition
Currently, Amazon has integrated into the BABL site; thousands of listings instigated directly from amazon.com into http://www.buildablock.com/buyer/?search=amazon
It has already been established that Amazon is seeking to purchase a company the can do Group buying / pricing, etc. And, BABL fits the bill via BABL's Unique Shopping Platform that allows buyers to negotiate deals directly with merchants

3. Spin-Offs,
Unlock shareholder value, which the spin-off can do as an independent entity.
Grow faster, which a spin-off can do outside the parent company
Grow in new dimensions from the parent company.

4. Securing private equity funding via Angel Finance

and another 10m in convertible debt shown up.


IMO The reason they issue shares to Collins Capital(James Kaufman) is because he is guiding their ENTRY into the MJ market via Bud-X & the MOBILE APP!

I thought this 10Q will be better but its the same.so if they are not selling via their shopping platform what they are doing?


I have few e-comers stores and I can tell you how the things works:
A excellent rule of thumb is that you ought to count on to receive five occasions gross profits (in other terms, sales) for the amount you spend for promotion;

IMO advertising/marketing campaign will begin After the first milestone is met, and Mobile App and deployment of software system which facilitates identifying and purchasing retail products and services are in place.

Just remember LivingSocial sells over $20 million worth of Amazon gift cards in one day after amazons 175m investment
Amazon promoted the deal in emails to its customers and LivingSocial sold 1.4 million vouchers in one day by gaining lots of new subscribers
there is every reason to expect the same can happen with $$$BABL
