When SH fired Datar they had 52% shares. When SH tried to fire CT they had 46% shares and no legal right to remove CT which according to Bylaws and articles of incorporation required them to call a general meeting. Furthermore, it was clear SH was acting against interests of rest of share holders and removal of CT would result in foreclosure Alpha followed by bankruptcy of Viropro. CT had obligation to rest of share holders to fight to keep them from being wiped out. You can't turn over a public company to a bunch of crooks.
