zuize, that's a good summary, but don't confuse the incident in 2008 when a group of light weights (when it comes to corporate raiding) resigned with what will happen as Denner makes his moves. He currently has a seat, he has a close ally in Schlesinger, and I believe he has the right to appoint one more.
Most of the other legacy BoDs are light weights as well and when Denner and crew begin to turn their "country club" type meetings into a battleground, things will begin to change for the better in my opinion.

Even having Schlesinger and the new board member to be appointed on his side, Denner still needs 2 more members in order to have the winning vote (5 out of the total 9 board members). I read an old article on Denner, he's a very smart, notable for his communication skills, very thorough and detail-oriented which is a good fit for working with people at HB age. I hope he's working well with Harvey Berger via communication and only consider "war" as the very last option once everything else failed.

I've read somewhere mentioning that Harvey Berger having some behavior issue and difficult to work with. Given all the work he has done in founding Ariad into a billion dollar company today, it's obviously he's a very smart and hard-working doctor. I'm not sure if this is true, but I've seen many times that smart and busy working people often has very little patience with people around them. Your mentioning of those light-weight directors, now shed some light on why they couldn't work with HB and had to resign. Denner is smart, hopefully, he's doing the right things in working with HB.
