I may be wrong but the way i understand it is.....

the HISC will retain third party rights...and the ownership of the CT.Newco(comprised or Newco/Actsoft) will have distribution rights of the C.T.

I know its a little confusing but essentially from what i understand there have been a few companies who want to license the C.T.'s technology but put there label on it and pay a royality to HISC.Thus the third party licenses.See this is why i get aggrivated with folks who claim there will be nothing left of HISC after they combine Actsoft/Newco.First of all they are a subsidary so HISC will receive royalties.Second HISC receives license royalties from all there other agreements.ICON is set up much the same way now...a license brand reseller.You have none of the costs of production but all the benefit of the cash from the products.

But remember the actsoft/newco will still be owned by HISC.They allow the subsidiary exclusive rights to market and sell the cybertracker....HISC receives the money.Yet actsoft/newco dont have to connected to cyberrad,cybersniffer,cyber key,cybershield,overseas distributors...etc they are there own division who handles the software/customer service and have exclusitivity to the CT.

I suspect in years to come HISC will have several divisions.I look for them to take for example the quantum sniffer and other goverment type products and make there own division for the goverment sales.

I know you think "why do all this?" it would be simplier to just have one company,one name,one line but........ think of it as an army ...you have the blue army with its president but inside that army is the tank divison who has there own general and officers and own tasks.They can operate independatly or together with the Blue Army at anytime.Now we have the blue airforce....they have there own division of soliders,a general,differnt warcraft etc.Now we have the blue navy and they are not even in the country right now but they have an admirial and warships and can operate indepentantly........BUT all these divisions on the outside look like they are entities of themselves and they are but they are also apart of the blue army and they all answer to the president.


HISC is going to be the same way.Mulitple divisions.Still owned by HISC but operating seperately and with division heads.Tom will be the CEO of actsoft/newco...and he will manage the operations of it.Eventually i think HISC will have a international division which takes care of sales in europe and the middle east.
But when HISC has a quarterly report they will all come together and report revenue and expenses together.See this way if you have a division that fails then you can replace that person who is in charge of that division without detroying the company.Frank is setting this company up to be like the big boys.HISC will have great sales and royalties and agreements for years to come that will generate revenue.ACTsoft/Newco will receive revenue from C.T sales,MRM sales,monthly subscriber fees from C.T.'s,cellphones,etc.

This is why i love HISC.......and will be LONG!!!!
