I just quoted what PT had said in an interview (that I ATM cannot get my hands on, maybe JB or Pete can find it? maybe it's the interview with the lady commentator on CNBC or some other station IIRC). But I remember well that PT said "after everything is said and done" the o/s of the combined company will be about 33m. Not sure if he meant basic or diluted o/s though. It was also mentioned (in HTFBS I think) that over 800k shares will be retired after ANY has issued 9.8m shares to OVRL upon closing of the merger. Anyway it seems to me that the provisions and options shares to be assumed from OVRL you listed are much more than what PT indicated in the Midas interview in June:

>>James West: What exists in the way of lock-up provisions, escrow agreements, stock options, warrants etcetera, that might represent imminent dilution as a result of this combination?

Peter Tassiopoulos: As far as that goes, the only real warrants or options that are being assumed as part of the transaction are priced between $17 and $27 per share. There’s less than a million I believe in total. But in any event I don’t see that as being any overhang considering our current trading price. In addition, I’d actually point out that both of us are already public. So I don’t see any significant changes to our share structure that’ll account for any change in the trading patterns for either company. There’s always been the opportunity for people to buy and sell stock as it is, unlike where if you were buying a private company where it might have a much bigger impact<<.

Viking and Pete, I could really use your help on this one? Is it for sure 33 million shares outstanding at the closing of the merger or could it be 44 million like investor830 is claiming? Another 11 million shares is a huge difference and I need to know the facts before I jump in head first again?
