Alan Brochstein Tuesday, 08/26/14 09:24:56 PM Jtyler1 post# 70845 of 70906
On the call today, Derek was careful not to give any information that would violate Reg FD. The discussion covered Edible Gardens, where the company expects better profitability and hopes to close Nature's Bounty by year-end. He weighed the pros and cons of "crossing the green line" and explained that the company is leaning towards doing so. On business development opportunities, he discussed the process for potentially bringing in Blum as the foundation for rolling up dispensaries in CA. The focus in in Nevada, Florida and the NE. There was a lot of discussion on the CO2 Extraction equipment and how the company plans to use it (either directly or lease out). This is owned as well as the lab.

Derek then covered the S-3, the Dominion deal and forward financing arrangements. He discussed the recent share awards and compensation practices, suggesting that Steven Ross is leading an effort to make this process more transparent going forward. He said that the Mann case hasn't progressed. If Mann were to get ownership, it would come from DP and not the company. The litigation against those who allegedly committed tortious interference should move forward within 60 days.

Hopefully that summary covered the main points.

S-3: Relied on counsel (brought in Randy Katz from Baker, Hostetler) - path of least resistance will be S-1. Needed to get an S-1 filed for Dominion and S-3 was holding it up.

Dominion: Great partner - very responsible.

For NB, deal will use cash raised, may require some shares issued directly

Going forward, deals like Dominion provide flexibility and less market impact at better cost compared to converts (at-the-market transactions). Companies don't make as much but take no risk. If awarded permits, will need to access capital in this manner but ok for now.

The proposed facility is approximately 35,000 Sq ft and will contain both cultivation and production at the same location. The team is working towards completing their state application while at the same time working aggressively towards submitting an application to the City of Las Vegas to operate a medical Cannabis dispensary. The company intends to give further updates about their efforts throughout Nevada as they progress through the process, reach certain milestones and enter new applications.

MJ plants sells wholesale for $2,500 to $3,500 per LB . A 35000 sqft cultivation & production facility will generate over $325,000 per week for edibles and MJ wholesale.

Peterson envisions a 30,000 square-feet to 50,000 square-feet cultivation plant, for which the company budgeted $3 million. A production facility could cost about $1 million, he said, while a retail store could cost between $500,000 and $700,0000, plus another $100,000 for security.
Here’s how Peterson breaks down the figures: a 50,000 square foot cultivation facility, with a staggered growth schedule, could produce 50 to 75 pounds of marijuana a week.

In other markets where marijuana is legal, the plant sells for $2,500 to $3,000 per pound at wholesale. That’s upward of $225,000 per week for a cultivation facility.

You seem to forget the future potential haze
all that haze blocking your vision

Future potential of a company is a lot more important than what they are currently doing. I have owned stocks where the earnings were great but the future potential earnings wer not rosy so stock went down.I am very surprised by your post that you dont know that.
Here read and learn http://www.irvalue.info/tools-en/fundamental-value-indicator/future-profit-potential ;

Fundamental Value Indicator® - Future Profit Potential
The intrinsic ability of a company to generate future profit

The Future Profit Potential of a company is the intrinsic ability of the business to generate future profits. It is the basis of the entire investment.

Anyone who doesn’t consider a company’s profit potentialjust bobs around in the stock market like a rudderless ship and ends up on the rocks. Really systematically understanding the stock market is only possible if the FutureProfit Potential of a company is considered.

The Future Profit Potential is updated daily based on the latest company data. It is included in the Price IncreasePotential Screenings. It is also shown in the Fundamental Value Indicator®, which is part of the CompanyReports.

The Future Profit Potential and the value of a company

The value of a company is determined by analyzing its historical results, current results and above all the potentialthat the company has to grow its profit in future years..

The greater the growth potential, the more a stock is worth paying for. The value of a stock increases proportionally with the earnings growth and especially with the expected earnings growth, which is in turn determined by the profitpotential. Obviously an investor who bases his decisions on the profit potential of a company will achieve better results on the stock market because the businesses with the largest profit potential are logically those whose value will increase the fastest.
