Galaxy, Restricted shares are common shares, except they have a restriction on them. Before the common shares are given to the shareholder, they are stamped with a notation saying that there is a restriction placed on them. Also, the stock buy-back will most likely be recorded as treasury stock. When these restricted common shares are issued, they will be taken out of Treasury. Treasury stock is recorded as an offset against the S/O total.
