The number of shares of Common Stock into which the Preferred Stock is convertible substantially exceeds the Issuer’s number of shares of authorized but unissued Common Stock. The Issuer would need to increase the number of authorized shares of Common Stock or to consummate a reverse stock split in order to accommodate a full conversion of all Preferred Stock.

IMDS was NEVER $34.5 a share. Again, that is another misrepresentation of facts. The stock has not been above a PENNY in years. IMDS did a reverse split and ADJUSTED for the reverse split the stock price RETROACTIVELY WOULD HAVE BEEN that price. BIG difference.

Just another reminder of how Grable screwed the investors.

And $100 lost is still $100 lost. Too bad investors have LOST over 140 MILLION dollars since inception in this scam.

The stock is on the verge of being revoked. That is all that is needed to know.
