Great post, and I think you've hit the nail right on the head. They have indeed protected themselves with different major players involved with different components of what make up PR3D. Plus having that connection and access to LANL personnel, and R&D is huge and almost an unfair advantage, but obviously in a good way for us. In my opinion that is why all the competitors have essentially camera/optical based systems, while Sigma Labs has the trio, (optical, thermal & acoustic) with years of materials science to back it up.

Our Bylaws do not contain anti-takeover provisions, which could result in a change of our management and directors if there is a takeover of us.

We do not currently have a shareholder rights plan or any anti-takeover provisions in our Bylaws. Without any anti-takeover provisions, there is no deterrent for a takeover of our company, which may result in a change in our management and directors.



This is from the last 10K.

In addition there are only two owners with > 5% of shares; Cola and Rockville. A takeover is unlikely to be prevented by the company until changes are made to the bylaws.

Jackle, thank you those are all excellent points especially about DEFORM/Honeywell.

I think being able to see the details of the JTDA with each company would answer almost all questions some of us have, but we will never see the details at this point.

Only thing I still don't see is how Sigma can protect themselves against a takeover considering they are 100% exposed. If someone wants to take them over, they can. It would end up being a DEFORM & GE relationship with Honeywell not DEFORM and Sigma.

As you stated, which I fully hope for and support is that Sigma has indeed protected themselves better than they look.

Good thoughts. Thanks. I'm sure the certification process that needs to flow up the chain (in GE case to the FAA) was fully considered as part of the plan. They have some experience with that sort of thing (National lab), and seem to be reasonably on schedule. Their ground level involvement is cool. Cheers -

I definitely concur with your logic Jackle. As a fellow dot connector. Dot + dot + dot + dot = success. Sglb has been fairly true to their word since I first put a stake in July 2013. They are making steady progress. Mark pretty much addressed the whole GE buyout IMO when he said that GE did not know how to value SGLB. GLTA!

I do not think that Cola&Co will stop at PR3D. IPQA technology can be utilized in other (and future) industrial processes.

While there does not exist a company position to deter a takeover, it is unclear at what price the shareholders would give up their shares. This is a very thinly traded stock. I do not know if this is truly relevant or not. How much would a majority of the shareholders take right now as opposed to their belief that in 2, 3 or 5 years this company will create crazy stupid returns?

Given that Sigma Labs is in effect Mark Cola and Dave Viveck, it is unclear if they would want to give up the autonomy and control they now have to continue to work under the management of GE or some other large company. They both left government positions. Perhaps they were frustrated with that management scheme and wanted to be independent or maybe they just saw a potential to develop a commercially valuable product and wanted something more than the government paycheck and were willing to take the risk.

What would happen to the connection between M.Cola and V. Dave with LANL if they were to work for a large company or if Sigma's IP were to be bought out and they chose to not continue working?

On what basis would GE or some equivalent company value Sigma Labs today? It certainly is not on the financials.

Jackle- Thank you for writing this. Very insightful and reasonable. Makes sense. I'm really curious what Sigma's new Business Development guy will come up with? His job will of course include realizing the "bigger value" Mark and Vivek see for Sigma Labs. Hopefully he will see even more opportunities for Sigma!
