Who has the authority to make these management changes and release an 8k?

Good question. As of 31 December, Shapiro and Sharon Franey were directors. The CFO was also a director, but he quit.

We don't know whether there are any other directors at this time. If there aren't, Franey is in charge. Presumably Shapiro isn't insisting on staying.
