If I had to actually guess, I would say that anytime money is involved, there will be someone finding a way to "beat the system".

It would absolutely require disclosure.

The securities act requires disclosure when any security is "described" for compensation. The securities act is neutral in regard to whether the description is good, bad, or even indifferent.

While believe there's required compensation disclosure BOS, surely there are ways to do without it and very likely done all the time by unscrupulous entities...

And while realize the 99.5% of OTC plays are in (highly manipulated) gutterland with massive amounts of non-affiliate debt on their balance sheet, debt-to-equity ratio of 10-1, no revenues and may not even be 'real' or deliver (basically scams)... once in a blue moon will find that rare gem... shame that some can't tell the difference and take out devious tactics on the 'innocent' as well...

The fundamental question is... why? The fundamental answer is so plain and simple: $makes the world go 'round! lol
