What is also interesting is as BK points out and I quote:

"Allan Marshall and Robert Weidenbaum, stockholders who were instrumental in the negotiation, execution, and consummation"...

It would appear that the company was originally conceived by stock promoters?

It would also appear that one of the original founding stock promoters was convicted for issuing fraudulent press released and in turn convicted for stock price manipulation as a result of issuing said fraudulent press releases?

I don't know why the SEC web site isn't showing the documents in question - exhibit 10.1 - Exchange Agreement, nor the other exhibits listed but not present that you have spoken about before - 3.1 Articles of Incorporation, and 3.2 By-Laws. You state that their absence is because they were never filed.

I'm not that familiar with reading company filings, so I wonder - does it happen that often where filings are referenced, but missing?
Is it possible the SEC just made a mistake somehow not making the exhibits available? Do you think they would allow an incomplete filing? If the SEC doesn't see a problem, does that mean there is none, or they haven't looked closely? What does the SEC say if you ask them about the missing documents?
