According to the news release, the merger agreement calls for Overland to exchange all outstanding common shares with Sphere 3D at a rate of one common Overland share for 0.510594 Sphere 3D common share, giving Overland shareholders an approximate 28.8% ownership in Sphere 3D on a fully diluted basis.
