The SEC suspended both companies in the same letter so one way or another it has to do with the merger, IMO.

There are questions regarding the accuracy and adequacy of publicly available information about the business activities, the control of the companies, and trading in the securities of both companies.

Nothing to do with an IPO. Everything to do with suspected fraud.
