No clue, take your own advice and call the transfer agent and ask if the preferred count as the outstanding shares and they will tell you they don't, series A shares have no bearing on the outstanding they are only for voting control, and if you bother to read you would know that Wagner doesn't own the prefers because he hasn't paid for them.
