One minor change....the bottles depleted happened from October to Jan 31....not May. Please recalculate bottles sold per week. It's much higher :)

So it has come to my attention that many of us are very anxious to understand the significance of the loan agreement established with Post Oak LLC, as well as it's correlation to recent events. Before any speculation of this financing vehicle, one should take a trip down memory lane and consider where Minerco Resources Inc. truly began their long-term growth strategy in this beverage industry...

The memory lane does not start with the Distribution Agreement you cited. It starts with the creation of Java Raba, Inc back in the middle of 2012 by Eric Cousens--ya know Braeden Storm Enterprises (BSE). Because Cousens/Java Raba, Inc. received a cease and desist order from the PA SEC for illegal solicitation of securities, a new Delaware Corporation called Level 5 Beverage was "formed" as a subsidiary of Minerco Resources, IMHO. The original domain registration info for Java Raba, Inc. and Level 5 Beverage happen to have Cousens' connection written all over it so this is not a coincidence but a link between Java and L5. It is quite possible that Cousens 'sold' his business plan to this new DE corp called Level 5 which could explain the sudden mention of Java Raba, Inc forgiving $50,000 for a 9.9% interest in Level 5 Beverage HOWEVER this should really not be a guessing game--it is a required disclosure. If L5 indeed paid $50,000 for a business plan, it's a bit steep don't you think?

1. Term:

A. Subject to earlier termination in accordance with Paragraph 9 of this Agreement, the term of this Agreement shall be for a three (3) year period commencing as of the Effective Date. Subject to the terms and conditions herein, upon the expiration of the initial term, the term of this Agreement shall automatically be renewed for successive one (1) year periods.

- To the best of my knowledge, there has not been a "Termination of Agreement" filed. Please correct me if I am wrong, but I have scoured and it seems as though this stipulation is still in effect.

If a material agreement has been changed or canceled, it must be reported, every quarter because not only is it part of our Federal law but the public/shareholders have the right to know what an issuer has done (history), has been doing, is doing now and expects to do in the future. No one should be 'guessing' which is what the problem is with MINE.

2. Supply of Products:

A. Supplier will supply to the Distributor such quantities of the Products as shall be required by the Distributor to perform the conditions of this Agreement and the same shall be shipped on order from the Distributor subject to and consistent with the production schedules of Supplier. During any time in which demand exceeds supply of the Products, Supplier may restrict the availability of the Products to Distributor in accordance with a commercially reasonable equitable allocation program specified by Supplier.


- This is key in understanding the recent financing agreement in relation to our products supplied by Level5. Everyone is mentioning how the products on Amazon are gone, and those that were in stores are now running low...Well duh! If you were here in January, you would have seen the COUNTLESS pictures of investors and customers enjoying our beverages, but we did only execute an initial production run. We have to consider that roughly 10,000 products were made since September of 2013. This reflects their previous initiatives in developing customer awareness.

What was the actual supply? What was the actual "enormous" demand? Where are the orders they secured and why would they secure orders against supply they don't have? Why would a buyer place orders for products that are not final yet?

We first placed our LEVEL 5™ products, RISE™ and COFFEE BOOST™, in retail stores on September 16, 2013. As of January 31, 2014, Level 5 has retail listings of over 250 stores and online listing through Amazon.com. To date, Level 5 has depleted 784 cases (9,408 individual bottles) of LEVEL 5™ products.

- Do the math; 9408 units/7 (Months following production: October-May) = 1,344 products purchased per month, or 336 products per week! Also, let us consider that most sales didn't really start occurring until 2014. For those of you who aren't familiar with forecasting demand, to see this level of sales occur in just 2 quarters is very promising for any company looking to position itself for long-term growth (1-3 years). IMHO, these statistics reflect positive market reactions to our entry within the beverage industry this year so far.

Glad to see the depletion number quoted again. Any thoughts on why the number of cases depleted decreased from a prior reporting period after more products have been distributed? To be fair, this particular quote didn't mention "at least" like the earlier report. How can you rely on these inconsistencies anyways?

The significance of the loan agreement established with Post Oak LLC is its insignificance. It is merely an agreement that exists for the sake of saying we have an agreement. The lender agreed to give a line of credit with a stipulation that it is not required to give any. The borrower (MINE)agreed to give a security interest with a class of security that have not been created at the time of the agreement because they're not required to create any unless they receive an advance. But even if a request for an advance is made, the lender can say no. It goes in circles.

312Moneyball, very,very fair assessment of what's gone on up to the present time. I would like to point out a couple of things that have been mentioned before. One is that BOOST/RISE are seemingly one in the same product in different packaging.

I would submit that RISE sold better than BOOST due to the packaging and that's the packaging they should stick with. This is evidenced by the continued availability of BOOST in the warehouse after RISE ran out.
With this said I don't understand the fixation on BOOST.
I would also submit that everyone will know the bottling has begun when notice of C shares being created is given. This should indicate disbursement of monies from the 2 million loan which will fund said production.

With all these great things planned, was this weird line of credit with circular conditions the best MINE was able to secure? If everything--MINE's future--depended on drawing funds from this credit line, how is it looking for MINE so far? "Use of Funds" which your post and arguments point to are irrelevant--we already know what the 'plans' are and we certainly know the history. What matters is if the funds will really be given. After funds are received, the next question to consider for investors is if MINE/L5 has agreements in place that will yield profits to the companywhich it currently does not. So, one has ponder on these questions carefully and see what the investment really yields at the end.

And note that the Distribution Agreement you cited is for Avanzar.

You meant 1,344 units per months or 336 units per week. This unit is one bottle.

So let's just say these figures are reliable (ahem), and we're looking at deterministic demand. Based on weekly sales being 336 units and this number being consistent throughout the year, what is the your 1 year demand forecast and how much safety stock do you feel MINE requires before it they face stock out issues?

Please explain your "...2 quarters is very promising" comment and justification because those who are familiar with demand forecasting want to know.

nice post that addresses real investor concerns. and everyone who keeps sqwaking that "there is no investing in the OTC", you can just do back to playing your little pumps like VTPI, SPMI, UNQT, VOIS, etc etc etc
