So…if we already had a legal opinion from our own representation (mcdonald wilson llp), then this additional opinion by Morrison and Foerster LLP is then from another party. Jbem also pointed out that Morrison and Foerster have represented MERCK on various occasions ( a simple google search confirms this), so then this second party who requested the additional opinion could very well be MERCK looking to cross Ts and dot Is, before the deal is finalized…
