The preferred shares represent 2/3 of the vote. They also have a 5 to 1 common conversion rate. They were created UNDER NV LAW, to replace any potential claims by ANY former directors, who may claim shares that were never filed properly and "alleging" they have "some control value".

You claimed the shares that are subject of the lawsuit in FL contain "some control value" which is utterly false. You cited the last 10K just like Huffy does. The last 10K contains ERRORS. But it's audited, right? Isn't that suppose to be all that matters?

Geez.......

Klein is claiming preferred CERTS 1,2,3, and 4 belong to him. NV corporate law says ALL convertible preferred CERTS, if converted, must be returned in exchange for common shares, by having a NEW CERT printed in the name of the rightful owner. In other words, you CAN NOT convert preferred shares PLUS retain the shares you converted. Either Klein, or the 4 former directors, would have 60 preferred shares or 1B common shares, but not both.

Klein is claiming he owns CERTS issued to the 4 former directors. If valid, he should/would have CERTS issued to himself. The 4 preferred CERTS for 15 shares each in the FL court would have his name on them (or would the common CERTS) PLUS a resolution by the board for either case. ClearTrust would have to have that info. That info was NOT filed with the court, and for good reason. It doesn't exist!!!

Zo has a designation filed properly......PERIOD. If anyone wants to know what the conversion rate or what rights they hold call NV SOS. This isn't "rocket surgery".

BTW.....why isn't Huffy/Klein fighting this fight in NV?

At least we know the 8K filed in January wasn't about upgrading, as you "alleged", then denied "alleging", don't we?
