"Plaintiffs have shown that defendants are soliciting votes using a false and misleading Proxy. The judge has ordered that the Proxy is false and misleading and fails to disclose material facts. Hence, the court has the authority to approve or disapprove any such Proxy for accuracy in disclosures. The harm is irreparable because an uninformed shareholder vote constitutes irreparable harm"!
