Fool, I keep telling you yes, DFI and DFMI were merged and there were papers signed.
Ans: Ok, if there is paper signed, did Dimension provide the legal signed documentation to the court ? Why jay said there is no legal documentation provided to the court by the dependent to prove that DFI and DFMI merged ?
But it doesn't really matter because DFI never owned the license. DFI never paid the cash or the stock for the license.
Ans: as You said DFI and DFMI merged, and you also said there is legal documentation to prove it, as a result DFI and DFMI is one single legal entity, if DFMI paid the $500k and stock to ISI, then DFI met the requirements of the contract, which means DFI owned the license, that is what 4retire said why the DFMI was established to issue the shares to ISI, am I correct ?
DFI could not meet the licensing requirements. DFI had nothing then and nothing now and nothing when TMM bought it. Nothing, nada, squat! Accept it, your life will be less stressful.
Ans : As I said , if Dimension does not have documentation to prove that DFI and DFMI were merged, then , DFI did not own the ISI license , and DFMI has no right to transfer the ISI license from DFI to DFMI which DFI did not own, even DFMI paid the $500k to ISI and issued the stock to ISI equaled to 5% of DFMI, because DFI and DFMI did not merge, and DFI is not DFMI, and DFMI is not DFI, the contract between DFI and ISI is not valid. However if DFMI has Paid $500k and DFMI shares to ISI so that ISI owned 5% of DFMI, DFI still did not own the license, because DFI is not DFMI and DFMI is not DFI if both did not merge, DFMI just pay ISI $500k and shares for nothing
Conclusion is if DFI and DFMI were merged at the time the contract was signed between DFI and ISI which can be proved with legal documentation, then DFI own the license, and DFMI can transfer the license from DFI to DFMI, and Larry still did not have the right to seize the license when he foreclosed DFMI, because the license is ISI's IP property, you can not seize the third party's property which did not belong to DFMI
