I think you have a very good point. In practice this seems to be a one-man-show when it comes to the important decisions. The independent Board members do not give the impression of being independent in practice. Solomon only owns about 10 % of the Company. We need members on the Board who truly represent the majority of the shareholders.
TF, with reflection, I can't believe that Solomon could be so stubborn as not to separate himself from the CFO role and the other factors you mention if it would means a Nasdaq listing. My guess is that they are having trouble explaining the complex nature of the company with all the JVs and also the continual dilution.
If Solomon cancels his golden shares, he will have to raise the AS again to protect the company from a hostile takeover. Dont think the market would appreciate that either.
