Of all the filings, this is one of the most important because it states the terms of the borrowing from TCA Global. Everyone wonders where the dilution is coming from, well, there a very good chance that they are issuing convertible preferred shares redeemable at 55% of adjusted market, just like they did last Fall.

For $5M the at a share price of 3 cents, that's over 300M new shares hitting the market.

No wonder Marty didn't file an 8K.
