The issue is whether Chua and Anderson made misrepresentations to the investors
contrary to section 50(1)(d) of the Act when they failed to advise the investors of
the existence of the Cease Trade Order

If they didnt know the 3 investors were citizens of BC then there would have been no misrepresentations right? They did say they could trade it in hong kong. maybe that was what was thought when the deal was done was that is where they could trade it so then that is where theyre from? This wont be that big of a deal, imo. I mean...we still trade it? Who needs Canada
