has given its written consent to a resolution adopted by the Board of Directors of the Company to amend the articles of incorporation so as to effect a reverse split of the Company’s common stock in a ratio of 1-for-100. We anticipate that this Information Statement will be mailed on March 18, 2014 to shareholders of record. On or after April 7, 2014, the amendment of the articles of incorporation will be filed with the Delaware Secretary of State and will become effective.




They need more money!
