Last could be insulation of the MCIG brand if VCIG fails. Not that I would ever want any of this (an unreasonable amount of my portfolio is in MCIG at the moment), but suppose something went wrong and there was a lawsuit over the VCIG - spinoff insultes the core brand as well as contains any pps fall off. VCIG is a brand new idea, even if it just "fails" bad PR could impact MCIG pps
