On November 5, 2005, Wesley Franklin tendered his resignation as a Director of the Company. We are currently in the process of identifying additional individuals with a substantial financial and industry experience to
serve on our Board of Directors.

We have received a subpoena from the Securities and Exchange Commission. We understand that the subpoena relates to an SEC investigation concerning trading in the stocks of a number of publicly-traded companies, including the Company. We have cooperated, and will continue to cooperate, in producing
documents and providing information to the SEC.
