Cocom International Ltd is a ten year old company with a background in designing consumer electronics for major companies such as Nokia, Sony Ericsson, 3Com and Canon. In total, Cocom has designed and developed seven of the set-top boxes currently deployed in Europe - all of these badged by major suppliers.

In January 2004 Cocom was acquired by eWAN Inc., a Southern California based broadband network solutions company. As a separate operating division under eWAN, Cocom is now bringing to market its own range of next-generation set-top boxes under the Digital Media Center brand.

The following overview is being presented to all stockholders of Ewan 1, Inc. (“Ewan”) as part of managements efforts to introduce Cocom International, Ltd., an operating company Ewan acquired in Jan 2004. Cocom International, Ltd., the UK subsidiary of U.S. based EWAN 1, Inc., has achieved a technological breakthrough in the “set top box” market by being the first to develop and bring to market a next generation platform that delivers both “triple play” (the combination of voice, video and data) in a single device and supports the new video encoding standard from Microsoft – Windows Media Player 9.

Ewan is so enthusiastic of the potential of the Cocom product line that its corporate growth strategy is entirely focused on the opportunity to become a leading global supplier of next generation set top boxes, as well as, using the technology in its own US operation as a network service provider.

Cocom has completed the development phase. Its flagship product, the DMC200, has been tested by a number of blue chip partners. Cocom is now ready to enter the next phase – market delivery and exploitation.

The breakthroughs achieved by Cocom are considered by many, including leading technology companies like Microsoft, AMD, and Philips as the Holy Grail to enable the delivery of a new generation of home media center devices, combining and blurring the definition of consumer electronics and PC technology. Cocom is the first to market and has a leadership position that needs to be exploited now. According to Gartner Dataquest, almost 350 million digital set-top box systems will be deployed by 2005.

The company has a strategic relationship with Microsoft with at least 40 of its DMC units deployed in 4 divisions of the company.

In Microsoft’s test labs, 21 competitor’s set top boxes have been tested. All have failed!

Cocom’s strategic partners, major players in the broadcast technology business including Optibase, Infogate, and IDS, need our products to meet their own customers’ requirements. They are opening up major opportunities, where any single win could enable the company to achieve this business plan.

Cocom expects to overtake leading new companies in the market – Amino, who raised £8 million and Fusion Digital, who recently raised £80 million. Cocom products are proven as superior and we have the relationships to deliver on the proposition.

Cocom will seek outside investment capital to achieve its business goals. The management team derived a conservative estimate after considering the market size and opportunity.

STRATEGIC INITIATIVE
Microsoft
Microsoft’s ambitions are to achieve the same domination in consumer electronics as they have achieved with the PC. They want their Windows technology to be the glue for all new digital consumer electronic devices – like TV’s, media centers, and set top boxes.

The DMC is being used in development and testing in 4 divisions in Microsoft –

• Windows Media Division • Embedded systems division
• E Home Division • MS TV division

There are a number of marketing initiatives driven by Microsoft that Cocom has to scale up to support. These include
• A new website – www.iptvsolution.com This site is being sponsored by Microsoft, Ewan, Optibase, and Infogate
• Membership of MSWEP (Microsoft Windows Embedded Program) with only 4 other STB manufacturers – in company with Pace, Scientific Atlanta and Motorola
• A write up to go in the next Infoblast newsletter – an MS publication that goes out to 65,000 readers monthly starting in June 2004
• Publication in MS’s own web site in the device showcase section
• Publication in an MS owned web site www.windowsfordevices.com (already out).
• Showcase demonstration at Supercom New Orleans in June – a live demo of WM9
• MS WM9 test labs have received over 1500 enquiries to recommend a set top box. They are about to recommend ours!
AMD
Cocom is a premier partner of AMD. They are just about to press release this fact. As AMD’s number one partner for the new Geode GT processor chip, Cocom will be the first company to launch a new product with this chip. Cocom is also working with AMD to design an “iPOD for video” product, with an expectation that Nokia will launch this product in 2005 with Cocom receiving royalties. (This is not factored in to the business plan.)

Canon
The Canon Photochannel is a new web portal being promoted by Canon to enable communities to share photographic images. Canon is promoting the DMC technology as a set top box that will enable Granny to receive and view pictures on the TV from the rest of the family. Cocom has been selected to participate in a trial with KPN in Holland. If successful, the rollout with KPN and worldwide will be in the hundreds of thousands of units.

Optibase
This Israeli company is the leading broadcast video encoding company in the world with a large installed base. The DMC is the only STB that works with their new WM9 encoder.

Cocom technical people in the US are working alongside Optibase in their test labs. Optibase is inviting us in to their potential clients which include Fastweb – the largest IPTV Company in the world, located in Italy with 600,000 subscribers. Fastweb is looking to upgrade all their customers with a WM9 based STB which supports VOIP (i.e. triple play).

Infogate
This Israeli company is the leading “middleware” company in the world. Middleware is the software that presents the user interface and services to the user – e.g. the electronic program guide. As the only working WM9 solution they are already recommending our device for a 17,000 unit deployment.

Gradiente
This Brazilian company is a major electronics products distributor and has sourced our product for a major STB deployment. They currently have delivered our products to Telefonica for lab trials. This is expected to result in a 4,000 unit trial in the next 90 days.

Iskratel
This major Slovenian Systems Integrator has recently completed trials on the DMC with the University of Ljubiana. As a result we are being put forward instead of Amino for a 40,000 unit deployment (which Amino have already announced but not delivered on).

The DMC 200 from CoCom combines the functions of set-top box (STB), personal computer, home audio player, media storage, residential gateway, and VoIP telephone in a single platform. Running Windows CE .NET and optionally XP Embedded, the unit is highly customizable allowing service providers to offer new and highly innovative entertainment and educational services over cable, satellite, digital terrestrial, and broadband networks, according to CoCom.

The DMC 200 is equipped with the usual complement of PDA application software including Internet Explorer, Pocket Word, Outlook Express, Macromedia Flash Player, Java, and PDF support. Couch potatoes will appreciate the wireless keyboard and mouse for effortless web surfing and email access.

Multiple conventional telephones can be connected to the box via regular cabling or Bluetooth, for use in voice over Internet protocol (VoIP) communications. The Bluetooth capability also enables access to a wide range of additional services, according to CoCom, such as: synchronising contact and calendar details with a PDA or mobile phone, and wireless access to computer peripherals such as keyboard, mouse and printer.

Several DMC 200s can be deployed around a home, using the integrated 802.11g wireless system, enabling members of the family to enjoy different multimedia experiences in separate rooms. The units can also be moved from room to room at any time.

eWAN 1, Inc. received a laudatory review of its proprietary Digital Media Center, a new generation of media system combining the functions of set-top box, personal computer, home audio, media storage, DVD player, residential gateway, personal video recorder and telephone in a single, easy to use platform in the current (May 13, 2004) issue of PC World magazine. A unique function of the DMC 200 is Triple Play, which allows for voice, video and data.
Agam Shah of IDG News Service writes: "It merges cable TV, Internet access, and gaming in such a way that its mix-and-match capabilities make it a versatile addition to the home. The same Cocom remote that you use to surf channels can be used to surf the Internet. Attaching a telephone wire can connect the box to the Internet via DSL, and a headset gives it Voice over IP capability. Furthermore, attaching an optional camera converts it into a videoconferencing box. With a broadband connection, it can receive TV programs off the Internet or any IP-based network."
Dwayne Sapp, Cocom sales and integration manager, says, "Our technology supports both IP-based phone service, which cable companies are offering, and video-based entertainment service, being supplied by phone companies, plus MPEG-4 coming in."
The DMC 200 runs Windows CE .Net Embedded and Windows XP Embedded with basic browsing (Internet Explorer 6.0), e-mail (Embedded Outlook Express), messaging (MSN Messenger) and multimedia (Windows Media Player) capabilities. The DMC 300, Cocom's next model, will have an integrated hard drive and a personal video recorder.
eWAN recently announced that it will install, operate and maintain a wireless high-speed Internet service network deploying the latest in 802.11/Wi-Fi technology in Los Angeles' historic Little Tokyo district.
Wireless Fidelity (Wi-Fi) is a high-speed, completely wireless alternative to DSL and dial-up Internet, available in all outdoor areas throughout the designated zone. Pricing for the service will be comparable to wire line broadband access alternatives with a variety of service plans.

Looks like Ewan set this up at some point for their Direct Connect subsidiary that they mentioned in todays pr. The links on the webpage don't work and it says 2005 on the bottom, not sure when this site was put up.
