If this was just a regular transition as you imply, the way real companies do it is they name a successor at the time the other CFO steps down and show continuity. So either Heddle is a moron and has no clue how to run a public comapany or Terranova suddenly resigned right before the 10K was due.

I am assuming you believe Heddle is not a moron so we are back to why did the CFO suddenly resign without a successor right before the 10K? Why did the company offer no explanation? The red flags are flying for those that are paying attention.
