All I can say is that I find the filing of the 8-K today VERY WEIRD; especially, about the ATM.

Does PPHM Management NEED the share price to drop? Isn't $1.61 low enough?

Is this so that shareholders are NOT stunned when the E Series Stock Conversion rate is SUPER UNFAVORABLE to the faithful?
