There are no benefits to shareholders of any company that chooses to no longer file to the SEC. Filings to the SEC are vetted for adequacy and accuracy of information by the company's auditor(s), whereas filings to OTC Markets do not need to be audited.

Essentially shareholders of NON-SEC Filers are at the mercy of the company when that company no longer has to verify any information disseminated to shareholders / potential shareholders.

Vitamin Blue can still choose to audit their yearly Financials and audit review their quarterly Financials IF they remain timely in submitting Financials to OTC Markets. Usually Form 15 Filers choose to no longer audit or audit review any Financials.....that is a prime reason to choose to no longer file to the SEC.
