the biggest component is subject to judgement the discount factor



I think they are simply trying to say that they could get more cash for the shareholders if they liquidated the company today by selling off the different JVs, than what the company is currently valued at on the OTC list.

Probably they have the P/E 14 (or was it 16?) HK valuation of SJAP in mind.
