Dilution does not have to happen. Positive A/S is very possible as long as people understand that the equity goes into purchasing assets immediately. If done that way which is what PHOT is doing it is positive short and long term. See my previous posts to see the explanation. Also, just read back to understand "what is going on with the company". Honestly there is just so much its better if you take it one at a time.
