FORM 10 vs. FORM 10-12g

In simple terms as I understand it.

They are both a Form 10.
FORM 10-12g is simply the INITIAL filing of a FORM 10 with the SEC. The reason for the 12g is because it is the INITIAL filing to become fully reporting. The information is covering 3 years of SEEK's financials. This is why it isn't the standard 10-K. The 10-K covers only the past fiscal year of audited financials. After Q1 they will then file the 10-Q which will be the quarterly report with the SEC. Then 2 more 10-Q's will be filed after Q2 & Q3 with the 10-K being filed for the whole year after Q4.

There is also a FORM 10-12b that SEEK did not qualify to file for because it has to do with a "spin off" of the securities, which is not the case here.

All and all, SEEK is golden and SG followed through with filing the FORM 10 as he said he would. As to the financials in the FORM 10-12g, it's all pretty much what we all have already known so, no surprises there...

So, to all those concerned that it is a FORM 10-12g instead of a 10-K... It is generally the same except the 12g is the INITIAL filing form and covers 3 years of financials and not just the previous year. Can't say it any simpler then that....
