Here's what I can tell you forsure:

The Bakken Deal is legit. Closing date is on or before the 31st. Phoenix Energy, Inc has 1 working well and enough room to add 5 more. There is daily communications happening between Petron and Phoenix.

That is what I know forsure. No idea about dillution, somebody else could probably answer that. I would assume it would be announced asap after the 31st. By the sounds of it both parties have good intentions and are making progress! That's all I know, and for this price that's more than enough!
