I have never had any interactions with any of the people you reference and resent any suggestion that I have. My post, which is 100% accurate, is not an argument...it simply provides the answer to your question. Anyone agreeing with it would be wise to do so. Anyone disagreeing with it would be wrong.

I provided a generic response because the question called for it. If your question referred to Alonzo Pierce, simply insert his name wherever you see "CEO" in my post.

The CEO, as the officer (along with the CFO) responsible for certifying the filing, has the obligation to file it on a timely basis. The certification says:
"Based on my knowledge, this report does not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements made, in light of the circumstances under which such statements were made, not misleading with respect to the period covered by this report;"

A CEO that can't certify the above should file a Notification of Late Filing explaining why it can't be filed. It's the perfect opportunity to expose any alleged misconduct on the part of any party, especially an officer...if it can be proven that that's the reason for the lateness.

Of course, if the CEO knows the correct information he can simply make that it is reflected in the filing and certify accordingly. That responsibility is his and the CFO's.
