There has been a split since 2009. I know the officers were to be issued preferred shares in exchange for common stock, but there is no evidence this conversion ever took place. MDIN cannot legally have an AS less than the amount needed to cover all conversions upon request, and would have been shutdown and halted since 1.5B would not cover that amount, granted the conversions took place and they can convert their preferred to common upon request. At the very least, they would not have been allowed to lower the AS. This leads me to believe the old officers only have post split amounts of shares of common stock. I have yet to find paperwork to suggest otherwise.

Paul Mitchell and Paul Kravitz were crooks, or just very poor business operators. They did a lot of shady, shady, things dating back to the early 90s. There are probably MANY things that will raise flags when looking into this company's history during their reign. Unfortunately for Ray, he took over a company in an unrecoverable nosedive. I can't speak for his personality, but there is nothing he could have done to get this company out of the hole the "Pauls" placed it to rest. At any rate, this is the past of the company. There was no revenue generated during that time, and a LOT of debt was accrued. They are still carrying the deficit from that time forward for taxes.

As for the shares accounted for here. I have summed that up already as nothing more than hearsay. We really have no idea who owns what, except Dangus and the late onemorehill. Speculation is not a basis for determining SS, or a grounds for legitimate discussion.

If you have links to RELEVANT documentation explaining any of the above concerns, feel free to post them.

My opinions are just that, and should not be used as a deciding factor for any investment. Always perform proper DD before investing/trading.
